Terms of Service

These Terms of Service ("Terms") govern your use of goluda.ai (the "Site") and any web development, local marketing, or AI automation services provided by LDS Enterprise LLC, doing business as Luda AI ("Luda AI," "we," "us," or "our"). By using the Site, submitting a form, or engaging our services, you agree to these Terms.

If you don't agree to these Terms, please don't use the Site or our services.

Who We Are

Luda AI is a small business owned and operated by LDS Enterprise LLC, providing custom websites, local marketing systems, and AI-powered automation (including missed-call text back, review request automation, lead capture, and related tools) for small businesses.

Our Services

2.1 Core System and Pro System

Luda AI offers subscription-based service packages (currently the "Core System" and "Pro System," or such other packages as we may offer from time to time) that combine a custom website with ongoing automation and marketing services. Current pricing, included features, and any limited-time or founding-member rates are described on the Site and confirmed in a separate Service Agreement before any charge is made.

Details specific to your engagement, including pricing, included features, onboarding requirements, refund terms, and cancellation terms, are governed by the Service Agreement you sign with us. If there is a conflict between these Terms and your signed Service Agreement, the Service Agreement controls for your engagement.

2.2 Free Preview

Where offered, we may build a working preview of a website for your business at no cost to you. Submitting a form or receiving a preview does not create any obligation on your part to purchase services, and does not create any obligation on our part to continue building anything for you, until we've mutually agreed on scope and pricing in a signed Service Agreement.

2.3 AI Chatbot (Pro System)

Where included, the AI chatbot is designed to answer general questions about your business (such as services offered, service area, and hours) and to capture visitor contact information as leads. The chatbot does not provide binding price quotes, guarantee service availability or timelines, or make commitments on your behalf. You are responsible for reviewing chatbot conversation logs periodically and promptly following up on captured leads.

2.4 SMS, Calling, and Messaging Features

Certain features (including missed-call text back, automated review requests, and lead follow-up messaging) require registration of your business with third-party communications carriers and industry registries under applicable regulatory frameworks for automated business messaging (commonly known as "A2P 10DLC" registration). By engaging these services, you authorize Luda AI to submit this registration on your behalf using the business information you provide, and you confirm that information is accurate and that you have the authority to provide it. Approval timelines are determined by third-party carriers and registries and are outside our control; typical approval takes approximately one to two weeks, but delays or rejections can occur for reasons outside our control.

You are responsible for ensuring that any contact lists, customer numbers, or messaging content you provide or approve for use with these features comply with applicable law, including obtaining any consent required from your own customers before they are contacted.

2.5 No Guaranteed Outcomes

We build tools and systems designed to help your business. We do not guarantee specific business outcomes, revenue increases, lead volume, review counts, search rankings, or other results from using our websites, chatbot, or automations, since these depend on many factors outside our control.

Submitting Information to Us

When you submit our contact form, onboarding form, or sign up for our email list, you're providing us with information so we can follow up with you or deliver services. Submitting a form does not create any obligation on your part to purchase services, and does not create any obligation on our part to build anything for you, until we've mutually agreed on scope and pricing in writing.

Please don't submit false or misleading information through our forms, including business registration information used for A2P registration or other regulatory purposes.

Payment

• No payment is due for a free website preview, where offered.
• If you engage a Core System, Pro System, or other paid service, fees, billing frequency, and payment terms are set out in your signed Service Agreement.
• All fees are in US dollars unless otherwise stated.
• We reserve the right to change our standard pricing at any time for new engagements; changes will not affect a subscription or project already agreed upon in writing, except as otherwise stated in that agreement.

Intellectual Property

5.1 Deliverables

Once fees for a website are paid according to the agreed terms, ownership of the final website files and design as delivered transfers to you, except for any underlying tools, templates, code libraries, chatbot configurations, automation workflows, or components we reuse across client engagements, which remain our property and may be used in other engagements. Automation workflows, CRM configuration, and messaging systems built using third-party platforms remain subject to the terms of those platforms and are licensed for your use during an active subscription, not owned outright, unless your Service Agreement states otherwise.

5.2 Our Site and Content

All content on goluda.ai, including text, graphics, logos, and design, is owned by Luda AI or our licensors and may not be copied, reproduced, or used commercially without our written permission.

5.3 Portfolio Use

Luda AI may reference completed websites and general engagement details in its own portfolio and marketing materials unless you request otherwise in writing. Where a discounted or founding-member rate is offered in exchange for a testimonial, the specific terms of that exchange are set out in your Service Agreement.

Acceptable Use

You agree not to:

• Use the Site to submit false, fraudulent, or malicious information
• Attempt to interfere with or disrupt the Site or its underlying systems
• Use any automated means (bots, scrapers) to access the Site without our permission
• Use our services, including messaging features, for any unlawful purpose, including sending unsolicited or non-compliant marketing messages

Third-Party Tools and Services

The Site and our services use or link to third-party tools and platforms, including but not limited to hosting providers, database providers, customer relationship management and messaging platforms, and advertising tools. We are not responsible for the practices, availability, or content of third-party services; please review their own terms and privacy policies separately where applicable. See our Privacy Policy for more detail on the specific third-party tools we use to process your information.

Disclaimers

The Site and any previews, websites, chatbot, or other deliverables are provided "as is" and "as available." We make no warranties, express or implied, regarding the Site or our services, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly agreed in your Service Agreement. We do not guarantee uninterrupted availability of any third-party platform our services depend on.

Limitation of Liability

To the fullest extent permitted by law, Luda AI and its founders will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Site or our services. Our total liability for any claim arising from our services will not exceed the amount you actually paid us in the three (3) months preceding the claim.

Nothing in these Terms limits liability where it cannot be limited under applicable law.

Termination

We may suspend or stop providing access to the Site or our services to anyone who violates these Terms. Either party may end a services engagement in accordance with the cancellation terms agreed in the applicable Service Agreement.

Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms. For active client engagements, the terms agreed in your signed Service Agreement will govern that engagement unless both parties agree otherwise in writing.

Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, unless otherwise required by applicable law.
